1. Acceptance of Terms

By accessing or using the Northern Calm Academy website, online learning platform, educational programs, or any related services (collectively, the "Services"), you agree to be bound by these Terms of Use. If you do not agree to these terms, you must not use the Services.

You must be at least 18 years of age to use the Services. By using the Services, you represent and warrant that you meet this age requirement and have the legal capacity to enter into this agreement.

Northern Calm Academy LLC reserves the right to modify these Terms of Use at any time. Notice of material changes will be provided via a homepage banner or email at least 14 days before the changes take effect. Your continued use of the Services after changes are implemented constitutes acceptance of the updated terms.

2. Description of Services

Northern Calm Academy provides educational programs focused on meditation, mindfulness, awareness development, and personal well-being. Our Services include:

• Structured online educational programs covering meditation foundations, mindfulness essentials, daily awareness development, focus development, guided reflection, and personal well-being education
• Access to an online learning platform featuring live educational sessions, recorded learning modules, and downloadable resources
• Educational materials including worksheets, journals, learning guides, and practice resources
• Progress tracking and participant support throughout program duration
• Information and resources related to mindfulness practices and awareness education

All Services are provided exclusively for educational purposes. Northern Calm Academy does not provide medical, therapeutic, psychological, or health services of any kind. Participation in educational programs does not create a professional-client relationship beyond the scope of educational instruction.

3. User Obligations

As a user of the Services, you agree to:

• Use the Services only for lawful purposes and in compliance with these Terms of Use
• Provide accurate, current, and complete information when submitting contact forms, enrollment requests, or creating an account
• Maintain the confidentiality of your account credentials and notify us immediately of any unauthorized access
• Not engage in any activity that disrupts or interferes with the Services or servers and networks connected to the Services
• Not attempt to gain unauthorized access to any portion of the Services, other user accounts, or computer systems or networks
• Not use automated systems (bots, scrapers, crawlers) to access the Services without prior written permission
• Not impersonate any person or entity or falsely state or misrepresent your affiliation with any person or entity
• Not upload, post, or transmit any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, invasive of privacy, hateful, or otherwise objectionable
• Not engage in any conduct that restricts or inhibits any other user from using or enjoying the Services

Violation of these obligations may result in immediate suspension or termination of your access to the Services without refund.

4. Intellectual Property Rights

All content available through the Services, including but not limited to text, graphics, logos, images, audio clips, video clips, digital downloads, data compilations, course materials, educational resources, and software, is the property of Northern Calm Academy LLC or its content suppliers and is protected by United States and international copyright, trademark, and other intellectual property laws.

The Northern Calm Academy name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Northern Calm Academy LLC. You may not use such marks without the prior written permission of Northern Calm Academy LLC.

Subject to your compliance with these Terms of Use, Northern Calm Academy grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Services and to download and print educational materials provided through the Services solely for your personal, non-commercial use. This license does not include any resale or commercial use of the Services or content; any collection and use of product listings, descriptions, or prices; any derivative use of the Services or content; any downloading or copying of account information for the benefit of another party; or any use of data mining, robots, or similar data gathering and extraction tools.

You may not reproduce, duplicate, copy, sell, resell, visit, or otherwise exploit the Services or any portion thereof for any commercial purpose without express written consent from Northern Calm Academy LLC. You may not frame or utilize framing techniques to enclose any trademark, logo, or other proprietary information without express written consent.

5. Educational Purpose and Disclaimers

All programs, courses, educational materials, and learning resources provided by Northern Calm Academy are offered exclusively for educational and personal development purposes. Northern Calm Academy makes no representations or warranties regarding specific outcomes, results, benefits, or improvements from participation in educational programs. Individual experiences vary significantly based on personal circumstances, prior experience, commitment to practice, and other factors beyond the control of Northern Calm Academy.

If you have or suspect you may have a medical or psychological condition, or if you are currently under the care of a healthcare provider, you should consult with your provider before beginning any meditation or mindfulness program.

Participants remain solely responsible for their own decisions, actions, and implementation of educational materials. Northern Calm Academy is not liable for any personal, professional, financial, health, or other consequences arising from participation in educational programs or application of program content.

6. Warranties and Limitations

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Northern Calm Academy does not warrant that:

• The Services will meet your specific requirements or expectations
• The Services will be uninterrupted, timely, secure, or error-free
• The results obtained from the use of the Services will be accurate, complete, or reliable
• The quality of any products, services, information, or other material obtained through the Services will meet your expectations
• Any errors in the Services or content will be corrected

No advice or information, whether oral or written, obtained by you from Northern Calm Academy or through the Services shall create any warranty not expressly stated in these Terms of Use.

Some jurisdictions do not allow the exclusion of implied warranties, so some of the above exclusions may not apply to you. You may also have other legal rights that vary by jurisdiction.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL NORTHERN CALM ACADEMY LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SPECIALISTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF NORTHERN CALM ACADEMY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL LIABILITY OF NORTHERN CALM ACADEMY LLC FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OF USE OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID, IF ANY, TO NORTHERN CALM ACADEMY FOR ACCESS TO THE SERVICES DURING THE SIX MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, so the above limitations may not apply to you.

8. Indemnification

You agree to indemnify, defend, and hold harmless Northern Calm Academy LLC, its officers, directors, employees, agents, specialists, licensors, and suppliers from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

• Your use of or inability to use the Services
• Your violation of these Terms of Use
• Your violation of any rights of another party, including any other user
• Your violation of any applicable laws or regulations
• Any content you submit, post, or transmit through the Services

This indemnification obligation will survive the termination of these Terms of Use and your use of the Services.

Northern Calm Academy has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services.

You acknowledge and agree that Northern Calm Academy shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such third-party websites or services.

10. Privacy and Data Protection

11. Governing Law and Jurisdiction

These Terms of Use and any disputes arising out of or related to the Services shall be governed by and construed in accordance with the laws of the State of Georgia, United States, without regard to its conflict of law provisions.

You agree that any legal action or proceeding arising out of or related to these Terms of Use or the Services shall be instituted exclusively in the federal or state courts located in Cobb County, Georgia, United States. You waive any objection to venue in such courts and consent to personal jurisdiction in such courts.

If you are a consumer located in the European Economic Area or United Kingdom, nothing in this section affects your rights under applicable consumer protection laws, including your right to bring proceedings in your country of residence.

12. Dispute Resolution

In the event of any dispute, claim, or controversy arising out of or relating to these Terms of Use or the Services, you agree to first contact Northern Calm Academy at [email protected] to attempt to resolve the dispute informally.

If the dispute cannot be resolved through informal negotiation within thirty (30) days, either party may pursue resolution through binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Cobb County, Georgia, United States, or at another location mutually agreed upon by the parties.

Alternatively, either party may bring an action in the courts identified in Section 11 above. This arbitration agreement does not preclude either party from seeking provisional remedies in aid of arbitration from a court of competent jurisdiction.

YOU AND NORTHERN CALM ACADEMY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

13. Termination of Access

Northern Calm Academy reserves the right, in its sole discretion, to suspend or terminate your access to all or any part of the Services at any time, with or without notice, for any reason or no reason, including but not limited to:

• Violation of these Terms of Use
• Conduct that Northern Calm Academy believes is harmful to other users, to Northern Calm Academy, or to third parties
• Use of the Services in a manner inconsistent with applicable laws or regulations
• Fraudulent, abusive, or illegal activity
• Non-payment of fees, if applicable

Upon termination, your right to use the Services will immediately cease. Northern Calm Academy shall not be liable to you or any third party for any termination of your access to the Services. All provisions of these Terms of Use which by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

14. Changes to Terms of Use

Northern Calm Academy reserves the right to modify or replace these Terms of Use at any time at its sole discretion. Material changes will be communicated to users via a homepage banner or email notification at least fourteen (14) days before the changes take effect.

Your continued use of the Services after the effective date of any changes constitutes your acceptance of the revised Terms of Use. If you do not agree to the changes, you must stop using the Services immediately.

It is your responsibility to review these Terms of Use periodically for updates. The "Last Updated" date at the top of this page indicates when these Terms of Use were last revised.

15. Severability

If any provision of these Terms of Use is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving its intent. If such modification is not possible, the provision shall be severed from these Terms of Use.

The invalidity, illegality, or unenforceability of any provision shall not affect the validity, legality, or enforceability of any other provision of these Terms of Use, which shall remain in full force and effect.

16. Waiver

No waiver by Northern Calm Academy of any term or condition set forth in these Terms of Use shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any failure by Northern Calm Academy to assert a right or provision under these Terms of Use shall not constitute a waiver of such right or provision.

17. Entire Agreement

These Terms of Use, together with the Privacy Policy and any other legal notices or agreements published by Northern Calm Academy on the Services, constitute the entire agreement between you and Northern Calm Academy regarding the Services and supersede all prior or contemporaneous understandings and agreements, whether written or oral, regarding the Services.

18. Assignment

You may not assign, transfer, or delegate these Terms of Use or your rights and obligations hereunder without the prior written consent of Northern Calm Academy. Any attempted assignment, transfer, or delegation without such consent shall be null and void.

Northern Calm Academy may assign, transfer, or delegate these Terms of Use and its rights and obligations hereunder without restriction, including in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets.

19. Force Majeure

Northern Calm Academy shall not be liable for any failure or delay in performance under these Terms of Use due to circumstances beyond its reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.
